RENTAL EQUIPMENT & SPECIAL EFFECTS TERMS

These Rental Equipment & Special Effects Terms (“Terms”) govern the rental, delivery, installation, operation, use, custody, breakdown, return, and removal of rental property and special-effects equipment supplied by Sapphire Sky Events LLC, a Georgia limited liability company (“Sapphire Sky Events,” “Company,” “we,” “us,” or “our”).
These Terms apply when incorporated into a Rental Agreement, Wedding and Event Décor Agreement, proposal, Event Service Schedule, invoice, booking confirmation, or other written agreement between Sapphire Sky Events and the person or persons identified as the client (“Client”).
1. Relationship to the Client Agreement
These Terms form part of the Client’s agreement when referenced in the applicable booking documents.
The complete agreement may include:

The accepted proposal or Event Service Schedule;
-
The Wedding and Event Décor Agreement or Rental Agreement;
-
The Booking, Cancellation & Rescheduling Policy;
-
The Event Operations & Venue Requirements;
-
These Rental Equipment & Special Effects Terms;
-
The Additional Fees Schedule;
-
Approved written change orders; and
-
The applicable invoice and payment schedule.
If these Terms conflict with a specifically negotiated provision in a signed agreement or approved written change order, the signed agreement or written change order will control.
For matters involving rental property, equipment operation, damage, loss, special-effects risks, technician authority, security deposits, and equipment return, these Terms control over general language appearing elsewhere unless the applicable signed agreement expressly states otherwise.
2. Covered Rental Property and Services
These Terms apply to all Company-owned, leased, subcontracted, or supplied rental property and equipment, including, when applicable:

Cold spark machines;

Dancing on the Clouds and low-lying fog systems;
-
Fog and haze machines;
-
Snow machines;
-
Bubble machines;
-
Laser and lighting equipment;
-
Confetti systems;
-
Photo booths and accessories;
-
Dance floors;
-
Flower walls;
-
Backdrops;
-
Arches;
-
Pipe and drape;
-
Floral installations;
-
Chandeliers;
-
Lighting;
-
Furniture;
-
Sofas and chairs;
-
Tables and stands;
-
Signage and display structures;
-
Candles and candle holders;
-
Candelabras;
-
Electrical cables and controllers;
-
Props;
-
Décor inventory;
-
Transportation and storage containers;
-
Hardware and accessories; and
-
Any other rental item identified in the Client’s booking documents.
Only the items and services specifically listed in the accepted proposal are included.
3. Definitions
For purposes of these Terms:
“Rental Property” means all equipment, décor, furniture, structures, accessories, containers, cables, controls, replacement parts, and other property supplied by or through Sapphire Sky Events.
“Special Effects” means cold sparks, low-lying fog, fog, haze, snow, bubbles, lasers, lighting effects, confetti, atmospheric effects, and similar event effects.
“Rental Period” means the period beginning when Rental Property is delivered to, received by, or made available to the Client and ending when it is returned to and accepted by Sapphire Sky Events.
“Technician-Controlled Equipment” means equipment that Sapphire Sky Events determines must be installed, operated, supervised, relocated, adjusted, disconnected, or dismantled only by Company personnel or an authorized technician.
“Customer-Pickup Rental” means Rental Property collected from and returned to a Company-designated location by the Client or the Client’s authorized representative.
“Venue” means each property or location at which Rental Property will be delivered, installed, operated, used, stored, or collected.
“Ordinary Wear and Tear” means minor deterioration resulting from proper and intended use that does not materially affect the appearance, safety, operation, rental value, or future usability of the Rental Property.
4. Ownership
All Rental Property remains the exclusive property of Sapphire Sky Events or the applicable third-party owner.
The Client receives only a limited right to possess and use the Rental Property during the authorized Rental Period and only for the event, location, and purpose identified in the booking documents.
The Client may not:

Sell;
-
Sublease;
-
Lend;
-
Pawn;
-
Transfer;
-
Conceal;
-
Abandon;
-
Dispose of;
-
Remove identifying labels from; or
-
Claim ownership of Rental Property.
Custom appearance, personalization, signage, wrapping, or integration into an event design does not transfer ownership unless the proposal expressly identifies the item as a sale rather than a rental.
5. Rental Period
Unless otherwise stated, the Rental Period covers only the Event Date and agreed installation, operation, and pickup schedule.
Rental Property must be ready and reasonably accessible for removal at the agreed Breakdown Time.
Unless the proposal states otherwise, Company-delivered Rental Property must be available for pickup no later than 11:00 p.m. on the Event Date.
A later pickup time, overnight rental, next-day pickup, multiday rental, or extended technician period must be specifically approved and may result in additional charges.
The Client may not retain Rental Property beyond the agreed Rental Period without prior written approval.
6. Delivery, Installation, and Removal
Delivery, installation, breakdown, and pickup are included only when specifically stated in the proposal.
The Client must provide:

Timely Venue access;
-
A safe and ready installation area;
-
Suitable loading access;
-
Required parking;
-
Available elevators;
-
Required electrical service;
-
Sufficient setup time;
-
Venue approvals; and
-
An unobstructed removal route.
Operational details are additionally governed by the Event Operations & Venue Requirements.
Delivery or installation at one location does not include relocation to another room, building, address, ceremony site, or reception site unless specifically listed.
Only Company personnel may relocate installed Rental Property unless Sapphire Sky Events provides written authorization.
7. Condition at Delivery or Pickup
Sapphire Sky Events will make reasonable efforts to provide Rental Property in clean, safe, and functional condition suitable for its intended purpose.
Rental Property may show minor cosmetic signs of ordinary prior use, including small scratches, wear, repairs, paint variations, floral variations, or other minor imperfections that do not materially interfere with the item’s intended function or overall event presentation.
The Client or authorized representative should promptly notify Sapphire Sky Events of any significant visible defect, missing component, or operational issue discovered upon delivery or pickup.
When practical, the Company may document condition through:

Photographs;
-
Video;
-
Written inventory;
-
Equipment testing;
-
Inspection forms; or
-
Delivery records.
Failure to report an obvious condition before use may be considered when evaluating a later damage claim, but it does not waive a defect that could not reasonably have been discovered earlier.
8. Client Custody and Responsibility
Except for Ordinary Wear and Tear and damage caused solely by Sapphire Sky Events or its personnel, the Client is responsible for Rental Property during the Rental Period while it is located at the Event or otherwise within the Client’s, Venue’s, guest’s, or Client-selected vendor’s custody or control.
The Client is responsible for loss or damage caused by:

The Client;
-
Guests;
-
Children;
-
Family members;
-
Venue personnel;
-
Planners;
-
Vendors;
-
Caterers;
-
Entertainers;
-
Photographers;
-
Unknown attendees;
-
Unauthorized operators;
-
Theft;
-
Vandalism;
-
Food or beverages;
-
Water or weather exposure;
-
Improper storage;
-
Improper transportation;
-
Fire or open flames;
-
Moving or tampering;
-
Misuse;
-
Negligence; or
-
Failure to protect Rental Property reasonably.
For Technician-Controlled Equipment, the Client is not responsible for internal operational damage caused solely by the Company technician’s operation or for defects existing before delivery. The Client remains responsible for third-party interference, impact, spills, theft, unauthorized movement, and damage occurring in the surrounding Event area.
9. Authorized Use
Rental Property may be used only:

For its ordinary and intended purpose;
-
At the approved Venue;
-
During the approved Rental Period;
-
In accordance with Company instructions;
-
In accordance with manufacturer instructions;
-
In compliance with Venue rules; and
-
In compliance with applicable legal and safety requirements.
The Client must not permit anyone to:
-
Stand or climb on Rental Property not designed for climbing;
-
Sit on items not intended for seating;
-
Overload furniture or structures;
-
Move installed equipment;
-
Disconnect electrical equipment;
-
Modify safety settings;
-
Remove weights or supports;
-
Cover ventilation openings;
-
Block sensors;
-
Use property outdoors without approval;
-
Place Rental Property near water, flame, heat, or hazardous substances;
-
Operate technician-controlled equipment;
-
Attach additional décor;
-
Repair damaged property; or
-
Continue using property after a safety concern is discovered.
The Client must notify Sapphire Sky Events promptly if Rental Property is damaged, lost, stolen, malfunctioning, or unsafe.
10. No Alteration or Attachment
Unless Sapphire Sky Events provides prior written approval, Rental Property may not be:
-
Painted;
-
Stained;
-
Drilled;
-
Cut;
-
Sewn;
-
Glued;
-
Nailed;
-
Screwed;
-
Stapled;
-
Taped;
-
Wired;
-
Engraved;
-
Wrapped;
-
Decorated;
-
Dismantled;
-
Repaired;
-
Modified; or
-
Permanently marked.
The Client may not attach flowers, signage, balloons, fabric, lights, adhesives, hooks, or other property to Company structures unless the attachment method has been approved.
Unauthorized alteration may result in cleaning, repair, replacement, labor, depreciation, and loss-of-use charges.
11. Technician-Controlled Equipment
Only Sapphire Sky Events personnel or authorized technicians may operate Technician-Controlled Equipment, including, when designated by the Company:

Cold spark machines;
-
Dancing on the Clouds systems;
-
Fog and haze machines;
-
Snow machines;
-
Laser equipment;
-
Lighting controllers;
-
Confetti equipment;
-
Electrical effects;
-
Audio-controlled equipment; and
-
Other powered equipment requiring technical supervision.
The Client, Venue, guests, and other vendors may not:
-
Turn the equipment on or off;
-
Change settings;
-
Move equipment;
-
Adjust output;
-
Refill consumables;
-
Disconnect power;
-
Handle dry ice;
-
Aim lasers;
-
Remove barriers;
-
Direct the technician to violate safety rules; or
-
Continue operation after the technician has suspended an effect.
Unauthorized operation or interference is a material breach and transfers responsibility for resulting loss, damage, injury, cleaning, penalties, and claims to the responsible Client to the extent permitted by law.
12. Technician Authority
Company technicians have final operational authority regarding the safe installation and operation of Company equipment.
A technician may delay, reduce, relocate, discontinue, or refuse an effect when the technician reasonably determines that:

Required Venue approval is missing;
-
A permit or inspection is required but unavailable;
-
Guests are within an unsafe area;
-
The floor or surrounding area is unsafe;
-
Power is inadequate;
-
Weather creates a risk;
-
Equipment has been moved or tampered with;
-
Venue personnel prohibit operation;
-
Fire alarms or safety systems may be improperly affected;
-
Ventilation is inadequate;
-
Operation would violate manufacturer guidance;
-
Continued operation could damage property; or
-
Another unsafe or unlawful condition exists.
The technician is not required to follow instructions from the Client, planner, Venue, DJ, photographer, or another vendor that conflict with safety, legal requirements, manufacturer guidance, or Company procedures.
Suspension caused by Client, guest, Venue, or third-party conduct does not automatically create a refund.
13. Venue and Governmental Approval
The Client must obtain all approvals required from:

The Venue;
-
Property owner;
-
Building management;
-
Hotel;
-
Event planner;
-
Fire marshal;
-
Local authority;
-
Government agency; or
-
Other person with control over the property.
Required approval may concern:
-
Cold sparks;
-
Fog or haze;
-
Dancing on the Clouds;
-
Snow or bubbles;
-
Lasers;
-
Confetti;
-
Dance floors;
-
Electrical use;
-
Open flames;
-
Rigging;
-
Hanging décor;
-
Floor protection;
-
Furniture;
-
Photo booths; or
-
Other rental installations.
The Client must provide requested written approvals before the deadline identified by Sapphire Sky Events.
The Company may independently communicate with the Venue or applicable authority to confirm requirements, but doing so does not transfer the Client’s responsibility for obtaining property-owner authorization.
Sapphire Sky Events remains responsible for licenses, permits, certifications, or legal requirements that apply specifically to the Company’s operation of its equipment.
Any permit, inspection, fire-watch, Venue supervision, engineer, electrical, union labor, or governmental fee is payable by the Client unless expressly included in the proposal.
14. Effect Prohibited or Rejected by the Venue
Venue refusal, a Venue policy change, lack of Client approval, or enforcement of a previously undisclosed Venue restriction does not automatically entitle the Client to a refund.
When practical, Sapphire Sky Events may offer:

A different effect;
-
A modified service;
-
LED alternatives;
-
A different equipment location;
-
A décor credit;
-
A comparable rental substitution; or
-
Another reasonable solution.
Any substitution is subject to availability, timing, cost, and Client approval when the replacement materially changes the agreed service.
If a Venue prohibits a service because Sapphire Sky Events lacks a permit, license, approval, or legal qualification that the Company was expressly responsible for obtaining, the Client’s remedy will be governed by the Company nonperformance section of the applicable agreement or Booking, Cancellation & Rescheduling Policy.
15. Inherent Characteristics of Special Effects
The Client understands that properly operated Special Effects may naturally produce temporary environmental conditions or by-products.
Depending on the effect, these may include:
-
Fine powder;
-
Granules;
-
Moisture;
-
Condensation;
-
Water droplets;
-
Temporary water marks;
-
Fog or haze;
-
Reduced visibility;
-
Snow or bubble-fluid residue;
-
Confetti;
-
Odor;
-
Noise;
-
Heat near equipment;
-
Cold surfaces;
-
Slippery areas;
-
Temporary surface deposits; or
-
Alarm sensitivity.
These normal characteristics do not, by themselves, establish equipment failure or improper operation.
Sapphire Sky Events will use reasonable care and follow applicable operating procedures. The Client and Venue must still consider the suitability of the flooring, surfaces, ventilation, alarms, and surrounding property before approving the effect.
16. Flooring and Surface Suitability
The Client and Venue are responsible for identifying sensitive or restricted surfaces before booking or installation, including:

Unsealed wood;
-
Specialty hardwood;
-
Historic flooring;
-
Porous stone;
-
High-gloss floors;
-
Delicate carpet;
-
Temporary dance-floor wraps;
-
Painted concrete;
-
Sensitive wall finishes;
-
Stages;
-
Rugs;
-
Outdoor surfaces; and
-
Surfaces subject to Venue cleaning charges.
Sapphire Sky Events may require:
-
A floor test;
-
Protective covering;
-
A dance floor;
-
A changed equipment location;
-
Written Venue approval;
-
Reduced output;
-
Cleanup arrangements; or
-
Removal of the affected effect.
The Company may refuse an effect when the surface is unsuitable or the Venue will not accept its normal operational characteristics.
The Client is responsible for cleaning or Venue charges resulting from normal disclosed by-products when the effect was properly operated and approved.
Sapphire Sky Events remains responsible for physical damage directly caused by the Company’s failure to use reasonable care, subject to the applicable agreement’s lawful limitations.
17. Cold Spark Machines
Cold spark machines may produce visible spark-like particles and a fine powder or granular residue during normal operation.
Cold sparks may be operated only:
-
By an authorized technician;
-
With required Venue approval;
-
In an approved location;
-
With suitable clearance;
-
Away from combustible or sensitive materials;
-
With guests outside any required safety zone;
-
On a stable and appropriate surface;
-
With adequate electrical service; and
-
In compliance with applicable requirements and manufacturer instructions.
The Client must inform the Company of:
-
Low ceilings;
-
Hanging décor;
-
Fire-suppression systems;
-
smoke or heat detectors;
-
Exposed fabrics;
-
Confined spaces;
-
Airflow concerns;
-
Venue restrictions; and
-
Surface-cleaning requirements.
No person may touch, move, obstruct, cover, refill, or operate a cold spark machine.
Sapphire Sky Events may reduce the number, duration, height, output, timing, or placement of activations when required for safety or Venue compliance.
The Client acknowledges that cold spark terminology does not determine how a Venue, fire marshal, insurer, or governmental authority may classify or regulate the equipment.
18. Dancing on the Clouds and Dry-Ice Effects
Dancing on the Clouds ordinarily uses dry ice and water to produce low-lying fog.
The effect may create:
-
Condensation;
-
Moisture;
-
Temporary water marks;
-
Reduced floor visibility;
-
Cold surfaces near the equipment;
-
Carbon-dioxide accumulation in poorly ventilated spaces; and
-
Slippery conditions if moisture is not appropriately managed.
Only authorized Company personnel may:
-
Handle dry ice;
-
Fill the machine;
-
Open the machine;
-
Drain water;
-
Refill water;
-
Adjust output; or
-
Relocate the equipment.
The Client and Venue must provide:
-
Adequate ventilation;
-
Suitable electrical service;
-
A stable equipment location;
-
An approved floor surface;
-
Reasonable distance from guests;
-
A safe pathway for the effect;
-
Required Venue approval; and
-
An area free from unprotected open flames or hazardous obstructions.
Dry ice must not be touched, consumed, handled by guests, enclosed with a person, or stored in an unventilated confined space.
Sapphire Sky Events may refuse or discontinue the effect when ventilation, floor conditions, crowding, access, or other conditions are unsafe.
The appearance, density, spread, duration, and height of the fog may vary based on:
-
Room temperature;
-
Floor temperature;
-
Airflow;
-
HVAC operation;
-
Door movement;
-
Guest movement;
-
Venue size;
-
Stage height;
-
Humidity; and
-
Other environmental conditions.
An exact visual result or duration is not guaranteed.
19. Fog and Haze Machines
Fog and haze may:
-
Reduce visibility;
-
Activate smoke-detection or alarm systems;
-
Affect people with respiratory sensitivities;
-
Leave light residue;
-
Reveal lighting beams;
-
Drift into adjacent areas; or
-
Behave differently depending on airflow and HVAC systems.
The Client must obtain Venue approval and disclose any:
-
Alarm restrictions;
-
Required alarm bypass procedures;
-
Fire-watch requirements;
-
HVAC restrictions;
-
Ventilation limitations;
-
Sensitive occupants; or
-
Prohibited fluids.
Sapphire Sky Events will not disable, cover, disconnect, or interfere with fire alarms or life-safety systems unless the work is lawfully performed by an authorized Venue representative or qualified professional.
The Company may suspend fog or haze if alarms, guests, Venue personnel, or conditions create a safety or compliance concern.
20. Snow Effects
Artificial snow effects may use fluid, foam, paper, or another material identified for the applicable machine.
Snow effects may create:
-
Moisture;
-
Temporary residue;
-
Slippery surfaces;
-
Water spots;
-
Cleanup requirements;
-
Clothing contact;
-
Reduced visibility; or
-
Drift outside the intended area.
The Client must obtain Venue approval and confirm that the Venue accepts the applicable residue and cleanup requirements.
The Company may change placement, reduce output, or discontinue operation when the floor becomes unsafe or when the effect may contact sensitive property, food, electronics, musical equipment, or unprotected guests.
21. Bubble Effects
Bubble machines may produce fluid residue, moisture, spots, and slippery flooring.
Bubble effects may be used only in an approved location with suitable flooring and reasonable separation from:
-
Electrical equipment;
-
Food;
-
Musicians;
-
stages;
-
Sensitive fabrics;
-
Cameras;
-
Guest seating; and
-
Other property that may be affected by moisture.
The Client or Venue is responsible for ongoing floor monitoring and general Event cleanup unless additional Company cleanup is specifically included.
22. Laser Effects
Laser equipment may be installed and operated only by Sapphire Sky Events personnel or an authorized provider.
Laser equipment may not be:
-
Aimed into a person’s eyes;
-
Handled by guests;
-
Aimed toward vehicles or aircraft;
-
Moved after alignment;
-
Directed toward reflective surfaces without evaluation;
-
Operated outside its approved configuration; or
-
Used in a manner prohibited by applicable law, Venue requirements, or manufacturer instructions.
Sapphire Sky Events may establish controlled zones, adjust beam height, restrict audience scanning, reduce output, change equipment placement, or discontinue operation.
Any required registration, report, variance, permit, notice, or approval applicable to Company-operated laser equipment will be handled according to the allocation stated in the proposal and applicable law.
The Venue and Client must disclose mirrors, reflective décor, low ceilings, windows, aircraft concerns, and other site conditions affecting safe operation.
23. Confetti and Loose-Material Effects
Confetti, streamers, petals, or other loose-material effects require prior Venue approval.
The Client is responsible for confirming:
-
Permitted materials;
-
Cleanup requirements;
-
Fire-safety restrictions;
-
Environmental restrictions;
-
Ceiling and sprinkler concerns;
-
Outdoor-use restrictions; and
-
Venue cleaning charges.
Unless specifically included, Sapphire Sky Events does not provide general Venue cleanup after confetti or loose-material use.
Confetti or similar material may not be loaded into Company equipment by the Client or another vendor without written approval.
24. Dance Floors
The Venue must provide a clean, dry, stable, level, and approved surface suitable for dance-floor installation.
Dance floors may not be installed over:
-
Standing water;
-
Unstable ground;
-
Excessively uneven flooring;
-
Active construction;
-
Unapproved carpet;
-
Surfaces unable to support the installation;
-
Outdoor ground without an approved subfloor; or
-
Another condition the Company reasonably considers unsafe.
The Client and Venue must prevent:
-
Dragging heavy furniture across the floor;
-
Open flames on the floor;
-
Adhesives or paint;
-
Unapproved tape;
-
Food-service equipment on the floor;
-
Sharp objects;
-
Unauthorized dismantling;
-
Vehicle access;
-
Excessive water;
-
Glitter, gum, wax, or damaging substances; and
-
Use beyond the intended event purpose.
Minor seams, panel lines, temporary impressions, or normal surface wear are not defects.
Custom wraps, monograms, and graphics may show minor variations caused by lighting, panel seams, floor dimensions, printing, application, and photography.
25. Furniture and Seating
Furniture may be used only for its intended purpose.
Guests may not:
-
Stand on chairs or sofas;
-
Jump on furniture;
-
Exceed posted or reasonable weight limitations;
-
Move furniture outdoors without approval;
-
Drag furniture across floors;
-
Place open flames on furniture;
-
Consume food or drinks in a manner likely to stain the item;
-
Remove cushions or components; or
-
Use furniture as a climbing structure.
The Client is responsible for stains, burns, tears, breakage, water damage, missing components, and excessive cleaning caused during the Rental Period, except to the extent caused solely by the Company.
26. Flower Walls, Backdrops, Arches, and Structures
Flower walls, backdrops, arches, draping frames, floral structures, and display walls are decorative structures and are not designed for:
-
Climbing;
-
Hanging body weight;
-
Guest seating;
-
Supporting unrelated equipment;
-
Unauthorized attachments;
-
Children’s play;
-
Pulling or leaning;
-
Outdoor use without approval; or
-
Movement after installation.
Guests must remain outside barriers or designated clearances when requested.
The Client is responsible for damage caused by touching, pulling, climbing, attaching property, guest impact, wind exposure, or unauthorized relocation.
27. Photo Booths
Photo-booth equipment may be operated only in the approved location.
The Client must provide:
-
Required floor space;
-
Reliable electrical service;
-
Reasonable Wi-Fi or cellular access when digital sharing is requested;
-
Protection from weather;
-
Adequate guest flow;
-
A safe backdrop area; and
-
Venue approval.
Digital sharing, text delivery, email delivery, uploads, live galleries, and other internet-dependent features may be delayed or unavailable because of:
-
Venue internet limitations;
-
Cellular coverage;
-
Platform interruptions;
-
Guest entry errors;
-
Device compatibility;
-
Third-party outages; or
-
Other technical conditions beyond the Company’s reasonable control.
When practical, queued images may be delivered after connectivity is restored, but immediate delivery is not guaranteed.
Guests may not move, strike, climb on, disconnect, or spill liquids on photo-booth equipment.
Photo-booth image collection, sharing, galleries, and privacy practices are additionally governed by the Privacy Policy and applicable photo-booth notice.
28. Lighting, Cables, and Electrical Equipment
The Client and Venue must provide safe and sufficient electrical service appropriate for the booked equipment.
Only authorized personnel may:
-
Connect or disconnect equipment;
-
Change circuits;
-
Move lights;
-
Reprogram controllers;
-
Remove cable protection;
-
Cover ventilation;
-
Alter aiming; or
-
modify settings.
Guests and vendors must not place furniture, liquids, candles, decorations, or equipment over cables, controls, lights, ventilation openings, or power supplies.
The Company may discontinue equipment when circuits are overloaded, power is unstable, outlets are unsafe, or another vendor interferes with the electrical supply.
29. Outdoor Use
Rental Property may be used outdoors only with prior written approval.
The Client must provide:

A level and stable surface;
-
Weather protection;
-
Suitable power;
-
Secure anchoring when required;
-
A safe indoor backup location;
-
Protection from rain, wind, mud, heat, and cold; and
-
Venue approval.
Sapphire Sky Events may delay, relocate, remove, or refuse outdoor Rental Property because of:
-
Rain;
-
Lightning;
-
Excessive wind;
-
Unstable ground;
-
Flooding;
-
Mud;
-
Extreme temperatures;

Unsafe tent conditions;

Nearby water;

Forecast deterioration; or

Other conditions presenting a reasonable risk.
The Company’s safety decision is not overridden by a Client or Venue request to continue.
30. Security Deposit
Sapphire Sky Events may require a refundable security deposit for certain rentals.
The deposit amount will be stated in the proposal or invoice and may depend on:

Rental value;
-
Customer pickup;
-
Rental duration;
-
Quantity;
-
Venue type;
-
Delivery distance;
-
Risk of loss;
-
Prior booking history; or
-
Other reasonable factors.
A security deposit is separate from the non-refundable Booking Payment.
The security deposit may be applied to:
-
Damage;
-
Loss;
-
Theft;
-
Missing components;
-
Late return;
-
Excessive cleaning;
-
Unauthorized use;
-
Repair;
-
Replacement;
-
Transportation;
-
Recovery costs;
-
Loss of rental use; or
-
Other obligations arising under these Terms.
Application of the deposit does not limit the Client’s responsibility when the amount due exceeds the deposit.
31. Deposit Inspection and Return
After Rental Property is returned, Sapphire Sky Events will conduct a reasonable inspection.
Unless additional investigation or repair estimates are reasonably required, the Company will, within 14 business days:
-
Return the eligible balance of the security deposit; or
-
Provide an itemized statement of deductions.
When the final repair or replacement amount cannot reasonably be determined within that period, the Company may provide a preliminary notice and retain a reasonable estimated amount until documentation is available.
Any remaining balance will be returned after final calculation.
A deposit return may be delayed when:
-
Property is missing;
-
Damage is concealed;
-
A third-party repair estimate is required;
-
Replacement availability must be determined;
-
An insurance or police report is pending;
-
A payment dispute exists; or
-
The Client has not provided required return information.
Electronic-payment processing charges will be handled according to the disclosure made before payment and applicable payment-provider requirements.
32. Damage Assessment
Damage will be evaluated reasonably based on factors including:
-
Pre-rental condition;
-
Photographs or video;
-
Inspection records;
-
Repairability;
-
Safety;
-
Appearance;
-
Replacement-part availability;
-
Labor;
-
Transportation;
-
Cleaning;
-
Depreciation;
-
Market replacement cost;
-
Loss of future rental use; and
-
Remaining useful life.
Sapphire Sky Events may use:
-
Repair invoices;
-
Vendor estimates;
-
Manufacturer pricing;
-
Supplier pricing;
-
Commercially reasonable replacement pricing;
-
Internal labor rates stated in the Additional Fees Schedule; or
-
Other reasonable documentation.
Ordinary Wear and Tear is not chargeable.
The Company will not charge both the full replacement value and the full repair cost for the same item unless separate losses are involved.
33. Repair, Replacement, and Loss-of-Use Charges
The Company may choose commercially reasonable repair or replacement when Rental Property is damaged.
Replacement may be appropriate when:

Repair is unsafe;
-
Repair is impractical;
-
Repair exceeds reasonable value;
-
The item cannot be restored to rentable condition;
-
Matching inventory is no longer available;
-
The damage materially affects appearance; or
-
The property is lost or stolen.
The Client may be responsible for:
-
Repair or replacement cost;
-
Parts;
-
Labor;
-
Cleaning;
-
Transportation;
-
Shipping;
-
Vendor charges;
-
Applicable taxes;
-
Loss of rental income during a reasonable repair or replacement period; and
-
Administrative charges identified in the Additional Fees Schedule.
The Company will make reasonable efforts to avoid duplicative recovery.
34. Theft and Missing Property
The Client must notify Sapphire Sky Events promptly if Rental Property is missing or stolen.
The Company may require:
-
A written incident report;
-
Venue security documentation;
-
A police report;
-
Guest or vendor information;
-
Photographs;
-
Surveillance information; or
-
Insurance information.
The Client remains responsible for missing or stolen property during the period of Client responsibility, subject to the applicable agreement and law.
Recovery of an item after replacement has been purchased does not automatically eliminate costs already reasonably incurred.
35. Excessive Cleaning
Ordinary post-event cleaning is included only to the extent stated in the proposal.
Additional cleaning charges may apply for:

Food;
-
Beverages;
-
Wax;
-
Gum;
-
Glitter;
-
Confetti;
-
Paint;
-
Adhesive;
-
Mud;
-
Smoke;
-
Pet hair;
-
Bodily fluids;
-
Excessive stains;
-
Makeup;
-
Oil;
-
Chemicals;
-
Unauthorized décor; or
-
Other contamination beyond ordinary event use.
The Company may refuse to clean and instead replace property when contamination creates a health, safety, appearance, or restoration concern.
36. Customer-Pickup Rentals
Customer-Pickup Rentals are permitted only when approved in writing.
The Client or authorized representative must:

Present valid identification when requested;
-
Use a suitable vehicle;
-
Secure the property properly;
-
Follow loading instructions;
-
Protect property from weather;
-
Inspect the inventory;
-
Confirm quantities;
-
Sign applicable pickup documentation;
-
Return all packaging and accessories; and
-
Return the property by the stated deadline.
Sapphire Sky Events may refuse release when the vehicle, loading method, weather protection, or proposed transportation appears unsafe or inadequate.
Company assistance with loading does not transfer responsibility for securing the load or operating the vehicle safely.
The Client must not leave returned property unattended outside the Company’s designated return area unless written after-hours instructions authorize it.
Property is not considered returned until received or accepted by Sapphire Sky Events.
37. Late Returns and Holdover
Rental Property returned after the agreed deadline may result in:
-
Late-return fees;
-
Additional daily rental charges;
-
Staff waiting time;
-
Missed-booking damages;
-
Recovery expenses;
-
Transportation charges; or
-
Other amounts identified in the Additional Fees Schedule.
A partial day may be treated as a full additional rental day when the delay prevents inspection, preparation, or delivery for the next booking.
Unauthorized holdover does not extend the Client’s permitted use or create ownership rights.
The Client must immediately notify Sapphire Sky Events of any expected delay.
38. Equipment Malfunction
The Client must notify Sapphire Sky Events promptly of an actual or suspected malfunction.
The Client must stop using equipment when continued use may be unsafe or may cause additional damage.
The Client may not attempt a repair unless Sapphire Sky Events gives written instructions.
When a material malfunction is not caused by Client or third-party conduct, Sapphire Sky Events may, depending on timing and availability:

Troubleshoot;
-
Repair;
-
Replace the equipment;
-
Provide a reasonable substitute;
-
Modify the service;
-
Provide a credit for the materially unavailable portion; or
-
Refund the amount allocated to the materially unavailable portion.
Minor interruptions, environmental variation, or temporary adjustments that do not materially deprive the Client of the contracted service do not automatically create a refund.
The Company is not responsible for failure caused by:
-
Venue power;
-
Internet access;
-
Client-supplied equipment;
-
Other vendors;
-
Unauthorized movement;
-
Tampering;
-
Weather;
-
Venue restrictions;
-
Guest conduct; or
-
Failure to follow instructions.
39. Substitutions
Sapphire Sky Events may substitute Rental Property with an item of reasonably comparable style, function, and value when the original item becomes unavailable because of:
-
Damage;
-
Supplier failure;
-
Transportation issues;
-
Safety concerns;
-
Inventory loss;
-
Discontinued products;
-
Prior-event damage;
-
Venue restrictions; or
-
Other circumstances beyond the Company’s reasonable control.
When a proposed substitution materially changes the appearance, function, or value of the contracted service, Sapphire Sky Events will seek Client approval when reasonably possible.
If no reasonable substitute is available, the remedy will be governed by the equipment-malfunction or Company-nonperformance provisions.
40. Cleaning, Venue Penalties, and Third-Party Charges
The Client is responsible for Venue cleaning fees, penalties, or third-party charges to the extent caused by:
-
Normal disclosed by-products of an approved effect;
-
Client or guest misuse;
-
Unauthorized operation;
-
Failure to obtain Venue approval;
-
Failure to arrange required cleanup;
-
Failure to disclose surface restrictions;
-
Venue rules not provided to Sapphire Sky Events;
-
Third-party interference; or
-
Client breach.
Sapphire Sky Events is responsible for penalties or cleaning expenses to the extent directly caused by the Company’s negligent operation, failure to follow disclosed Venue requirements, or use of an unauthorized material.
Each party must provide reasonable documentation supporting a requested reimbursement.
41. Assumption of Inherent Risks
The Client acknowledges that rental property and event effects involve certain inherent and disclosed risks even when reasonably installed and operated, including:

Temporary moisture;
-
Residue;
-
Reduced visibility;
-
Slippery areas;
-
Moving guests;
-
Electrical equipment;
-
Decorative structures;
-
Uneven Event surfaces;
-
Cold or heated equipment surfaces;
-
Loud or sudden effects;
-
Guest interaction; and
-
Environmental variation.
The Client accepts these inherent risks to the extent they cannot be eliminated through reasonable operation and agrees to communicate relevant restrictions to the Venue, planner, guests, and vendors.
This section does not release Sapphire Sky Events from responsibility that cannot lawfully be waived.
42. Release Relating to Client and Third-Party Conduct
To the fullest extent permitted by law, the Client releases Sapphire Sky Events from claims by the Client to the extent caused by:

Unauthorized operation;
-
Unauthorized relocation;
-
Client misuse;
-
Guest misconduct;
-
Failure to obtain required Venue approval;
-
Client-provided inaccurate information;
-
Client-selected vendor conduct;
-
Failure to follow written safety instructions; or
-
The normal disclosed characteristics of an approved and properly operated effect.
This release does not apply to the extent a claim is caused by Sapphire Sky Events’ gross negligence, willful misconduct, intentional wrongdoing, or violation of a nonwaivable legal duty.
Nothing in these Terms purports to waive an independent legal claim belonging to a guest or other third party who did not agree to these Terms.
43. Client Indemnification
To the fullest extent permitted by law, the Client will indemnify and hold harmless Sapphire Sky Events and its owners, employees, contractors, and authorized technicians from third-party claims, losses, damages, penalties, and reasonable defense expenses to the extent caused by:

The Client’s breach of these Terms;
-
Client negligence or intentional misconduct;
-
Guest misconduct;
-
Unauthorized use or operation;
-
Unauthorized movement or alteration;
-
Failure to obtain required Venue or property-owner approval;
-
Materially inaccurate information supplied by the Client;
-
Conduct of vendors hired or controlled by the Client; or
-
Damage to Rental Property during the Client’s period of responsibility.
This obligation does not apply to the extent the claim is caused by Sapphire Sky Events’ gross negligence, willful misconduct, intentional wrongdoing, or violation of a nonwaivable legal duty.
Sapphire Sky Events will provide reasonable notice of a covered claim and will not agree to a settlement imposing a nonmonetary obligation on the Client without the Client’s reasonable consent.
44. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages arising from Rental Property or Special Effects, including loss of profit, loss of business opportunity, reputational harm, or emotional distress.
Except for obligations that cannot lawfully be limited, Sapphire Sky Events’ total contractual liability arising from the affected rental or effect will not exceed the amount actually paid to Sapphire Sky Events for that affected rental item or service.
This limitation does not apply to:

Sapphire Sky Events’ gross negligence;
-
Willful misconduct;
-
Intentional wrongdoing;
-
Fraud;
-
Obligations that applicable law does not permit the parties to limit; or
-
The Company’s obligation to return an eligible refundable security deposit.
45. Insurance
The Client should maintain appropriate event, property, and liability insurance based on the size, location, and risks of the Event.
Sapphire Sky Events may require proof of insurance for:
-
High-value Customer-Pickup Rentals;
-
Extended rentals;
-
Outdoor installations;
-
Unattended rentals;
-
Large dance floors;
-
Specialty equipment;
-
High-risk Venues; or
-
Other circumstances stated in the proposal.
Venue certificate-of-insurance requirements are governed by the Event Operations & Venue Requirements.
Insurance does not eliminate the Client’s contractual responsibility for damage, loss, or unpaid charges.
46. No Third-Party Beneficiaries
These Terms are intended solely for the benefit of Sapphire Sky Events and the Client.
Except where the agreement expressly provides otherwise, no guest, Venue, vendor, planner, photographer, entertainer, or other third party receives contractual rights under these Terms.
47. Additional Fees
Charges for late returns, waiting time, additional labor, excessive cleaning, recovery, repair labor, additional trips, after-hours service, extended technician time, and similar services will be calculated under the Additional Fees Schedule or a written change order.
Third-party repair, replacement, shipping, Venue, permit, and governmental charges may be passed through at actual documented cost when not listed in the Additional Fees Schedule.
48. Survival
The following obligations survive completion, cancellation, or termination of the booking:

Ownership;
-
Payment obligations;
-
Damage and loss responsibility;
-
Security-deposit deductions;
-
Repair and replacement charges;
-
Indemnification;
-
Limitation of liability;
-
Dispute obligations; and
-
Any provision that by its nature should continue after the Rental Period.
49. Policy Version and Amendments
The version of these Terms incorporated into the Client’s booking will govern that booking.
Sapphire Sky Events may revise these Terms prospectively for future bookings.
A later website update will not retroactively modify an existing booking unless Sapphire Sky Events and the Client accept the change in writing.
No Venue employee, planner, family member, guest, or other vendor may amend these Terms on behalf of the Client or Sapphire Sky Events.
